Terms of Service
1. What you're agreeing to
By creating a Custelis workspace, or by any of your authorized users doing so, you agree to these Terms on behalf of your organization. If you don't have authority to bind your organization, don't proceed - have someone who does create the workspace instead.
2. What Custelis is
Custelis is a subscription service for employee activity monitoring, endpoint security, and data loss prevention, built for company-owned, company-managed devices. Custelis is a software tool your organization configures and operates - your organization decides what gets monitored, for whom, and under what policy, within the guardrails built into the product.
3. Commitments we're making contractually, not just as marketing
These aren't just claims on our homepage - they're terms of this agreement:
- The product will never capture keystrokes, passwords, credentials, cookies, or authentication tokens, regardless of your configuration.
- The product will never activate webcam or microphone access, and will never monitor a personal or BYOD device.
- Every monitored device will display a visible tray icon and monitoring notice to the person using it - the product is built so monitoring cannot be run hidden from the employee.
- Screenshot capture, where you enable it, defaults to off, is active-only, is capped at 60 captures per hour, and every access to a captured screenshot is itself logged.
If Custelis breaches any of the above, that's a material breach of this agreement, not just a product complaint.
4. Your responsibilities as the Customer
You are the data controller for the monitoring data your workspace collects on your employees (see the Privacy Policy, Part B). That means it's your responsibility, not Custelis's, to:
- Have a lawful basis for monitoring your employees under the laws that apply to you, and give your employees the notice those laws require.
- Only deploy Custelis on devices your organization owns and manages.
- Configure retention, screenshot, and DLP policy in line with your own compliance obligations - Custelis gives you the controls; you're responsible for how you set them.
- Respond to your employees' data-principal rights requests (access, correction, erasure, grievance, nomination) - Custelis's product drafts these for you, but a human at your organization reviews and sends every response.
5. Acceptable use
You won't use Custelis to do anything the product is explicitly built to prevent (see Section 3), to monitor anyone other than your own employees on your own company-managed devices, or in a way that breaks the law applicable to you. We can suspend a workspace that we reasonably believe is doing any of the above, and we'll tell you why.
6. Subscriptions, billing, and cancellation
Plans are billed per active employee per month or year, per the pricing published at custelis.com/#pricing at the time you subscribe. Payment is processed by Razorpay via the shared ORIS Billing platform - we never see or store your card details. You can cancel a subscription at any time from your workspace's billing settings; cancellation takes effect at the end of the current billing period, and we don't offer partial-period refunds except where required by law.
7. Data ownership and export
You own the data your workspace generates. If you cancel, you can export it before your account closes; ask support@custelis.com if you need help. After account closure, we retain data only as long as our own legal, tax, or audit obligations require, then delete it.
8. Service availability
We aim to keep Custelis available and will tell you about planned maintenance in advance where practical. Like any hosted software, we don't guarantee uninterrupted availability, and we're not liable for outages caused by circumstances outside our reasonable control.
9. Liability
To the extent permitted by applicable law, Custelis's total liability arising from this agreement is limited to the amount you paid us in the twelve months before the claim arose. We aren't liable for indirect, incidental, or consequential damages, or for how you configure or use the monitoring and DLP controls the product gives you - those decisions, and the compliance obligations that flow from them, are yours.
10. Termination
Either party can terminate this agreement at the end of a billing period with notice. We can terminate immediately for a material breach, including any acceptable-use violation under Section 5, or for non-payment after a reasonable cure period.
11. Changes to these terms
If we make a material change, we'll update the effective date above and notify active workspace admins. Continued use after a change means you accept the update.
12. Governing law
These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of [city to be confirmed by counsel].
